1. Agreement to Terms

By accessing or using the services provided by The Latin Exchange Inc. ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all users of our services, including but not limited to visitors, clients, and users of our SaaS products, including Biblichat, OIPDF, and Pure Skincare.

2. Services Description

The Latin Exchange provides software consultancy services, AI-powered SaaS solutions, custom software development, cloud architecture, and digital transformation services for businesses operating in the United States and Latin American markets, with a focus on serving the Latin American community in the United States.

Our services include but are not limited to:

  • Custom software development with AI integration
  • Cloud architecture and AI infrastructure services
  • AI strategy and technical consulting
  • AI-driven digital transformation services
  • SaaS products and platforms

3. Jurisdiction and Governing Law

The Latin Exchange operates from offices located in San Diego, California, United States. These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

For services provided to clients in Mexico, these Terms shall also be subject to applicable Mexican federal laws, including but not limited to the Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP).

Any disputes arising from or relating to these Terms or our services shall be resolved through binding arbitration in San Diego, California, in accordance with the rules of the American Arbitration Association, except where prohibited by law.

4. User Accounts and Responsibilities

When you create an account with us or use our SaaS products, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as necessary
  • Maintain the security of your password and identification
  • Accept all responsibility for activities under your account
  • Notify us immediately of any unauthorized use of your account

5. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and AI models, are owned by The Latin Exchange Inc. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our services without our prior written consent.

6. Payment Terms

For paid services, you agree to pay all fees associated with your use of our services. Payment terms will be specified in individual service agreements or subscription plans.

All fees are non-refundable unless otherwise stated in writing. We reserve the right to change our pricing with 30 days' notice to existing customers.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LATIN EXCHANGE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless The Latin Exchange Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services or violation of these Terms.

9. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use our services will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive termination.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
